ALROSA's Board Approves 22 Nominees for Election

Press Release: The supervisory board of ALROSA approved the draft agenda of the company’s annual meeting of shareholders along with a list of board nominees. There are 15 vacancies and 22 nominees, including two foreign nationals, all of whom are running for election as independent directors and were put forward by minority shareholders.

This is the first time that foreign nationals have run for election as independent non-executive directors at ALROSA. They are Ralf Tavakolian (Tav) Morgan, a partner of Baring Vostok Capital Partners, and Thomas John O’Neill, a board member of Aurum Holdings Limited, the chairman of C&J Clark and the ex-CEO of Harry Winston Inc. These candidates were put forward by Lazard Asset Management, which  represents minority shareholders of ALROSA.

The following lists all 22 nominees, alphabetically by surname:

1. Andreev, Fyodor Borisovich, the president and CEO of ALROSA;
2. Barsukov, Sergey Vladimirovich, department director, Russia's Ministry of Finance;
3. Brouk, Mikhail Lvovoch, the CEO of South Yakutia Development Corporation (as an independent director);
4. Budishchev, Victor Victorovich, the CEO Yakutia Venture Company (as an independent director);
5. Bulshy, Maxim Yurievich, the Deputy Minister of Industry, Republic of Sakha (Yakutia);
6. Demyanov, Ivan Kirillovich, the vice president of ALROSA;
7. Dubinin, Sergey Konstantinovich, the chairman of the supervisory council at JSC VTB-Bank;
8. Zakharov, Dmitry Petrovich, the CEO of RIK-Finance (as an independent director);
9. Illarionov, Spartak Grigorievich, the first deputy head of Olenek Evenk Ethnic District, The Republic of Sakha (Yakutia) (as an independent director);
10. Kondratyeva, Valentina Ilyinichna, the CEO of State Autonomous Agency at The Republic of Sakha (Yakutia) Centre for Strategic Research;
11. Kononova, Nadezhda Yegorovna, the deputy CEO for the Republican Investment Company (as an independent director);
12. Krylatchanov, Pavel Pavlovich, the Deputy Minister of Economy, Republic of Sakha (Yakutia);
13. Lozhevsky, Igor Arnoldovich, the deputy head of Deutsche Bank for Eastern Europe (as an independent director);
14. Mestnikov, Sergey Vassilievich, the First Deputy Minister of Property and Land Relations, Republic of Sakha (Yakutia);
15. Morgan, Ralf Tavakolian, a partner with Baring Vostok Capital Partners (as an independent director);
16. Morozov, Denis Stanislavovich, a director from the Russian Federation, EBRD (as an independent director);
17. O’Neill, Thomas John, of Aurum Holdings (as an independent director);
18. Osipova, Nina Antoninovna, the Deputy Minister of Finance of the Republic of Sakha (Yakutia);
19. Safronov, Alexander Dmitrievich, the first vice chairman, Republic of Sakha (Yakutia) State  Committee for Innovations and Science;
20. Fedorov, Oleg Romanovich, an advisor to the head of Rosimushchestvo (Federal Agency for State Property Management);
21. Sharonov, Andrey Vladimirovich, a dean at Moscow School of Management Skolkovo;
22. Uzhanov, Ilya Arturovich, the current chair of ALROSA's board.

The agenda for the annual meeting of shareholders includes a number of standard items such as approving ALROSA's annual report and financials, distributing profit based on the 2013 results, including payment of dividends, selecting an auditor and electing  the supervisory board and the audit commission. The agenda will be approved at the next meeting of the supervisory board. The date of the annual meeting of shareholders will be scheduled later.
